What you're buying, at what price, and how to end it.

1. Purpose and scope
These Terms of Sale ("Terms") govern the sale of a subscription to FreeKiosk Cloud, a SaaS platform for the remote management of fleets of Android tablets running FreeKiosk, published by RUSHB, a French SAS (simplified joint-stock company) with a share capital of 200 EUR, registered with the Antibes Trade and Companies Register under SIREN 105 495 220, whose registered office is at 2 Place du Général de Gaulle, 06800 Cagnes-sur-Mer, France ("RUSHB", "we"). Full identification of the publisher is in the legal notice.
They apply to any subscription to FreeKiosk Cloud by a customer, whether a consumer or a business, French or foreign (the "Customer", "you"). They prevail over any other document, unless both parties expressly agree in writing to depart from a specific clause.
They are distinct from the Terms of Use, which govern using the service independently of buying it, and from the privacy policy, which governs personal data processing.
2. Acceptance
Creating an account and subscribing implies full acceptance of these Terms, as in force at the time of subscription. The Customer acknowledges having read and accepted them before proceeding to payment.
3. Description of the service
FreeKiosk Cloud is a subscription service to remotely monitor, control and update a fleet of Android tablets. There is only one offer: every feature is included for every Customer holding at least one paid licence, whatever their device quantity. An organisation using only the free allowance of section 5 has the service without APK distribution, remote screenshots, the scheduler, renaming of the organisation and additional team members.
The subscription covers a number of licences, each licence corresponding to one device that can be enrolled at the same time in the service. The Customer cannot enrol more devices than licences held; they must increase their licence quantity (section 8) to enrol more.
The FreeKiosk app installed on the tablets runs on its own and does not need FreeKiosk Cloud to stay in kiosk mode: an interruption of the service does not stop an already-configured device from working, only remote management is affected while it lasts.
4. Price and billing
The applicable rates are those shown on the service's pricing page at the time of subscription or of any change in quantity. For reference, at the time of writing:

A higher licence quantity never costs more per licence than a lower one: between 81 and 100 licences, the rate charged is the 100-licence rate.
Prices are shown excluding tax. Applicable VAT is calculated automatically based on the Customer's country and status (consumer, or business with a valid EU VAT number), in accordance with applicable regulations, and shown before any payment is confirmed.
The subscription is paid in advance, monthly or annually as chosen by the Customer at subscription. The annual subscription carries a 10% discount against the monthly rate, paid in one instalment for the twelve months ahead.
Any partial period (subscription or quantity increase partway through a month or year) is billed immediately, prorated over the time remaining until the next due date.
No minimum billing amount applies: an invoice of a few tens of cents is issued and charged like any other.
5. Free allowance
Every organisation may enrol one device free of charge, with no payment method required, under the conditions in force. This free device gives access to the service except APK distribution, remote screenshots, the scheduler, renaming of the organisation and additional team members, which come with the first paid licence (section 3). There is no free trial: enrolling beyond this one free device is billed immediately, from the first day, at the rates in section 4.
RUSHB may grant a higher permanent free allowance to specific accounts at its discretion (e.g. accounts from the closed beta period); where granted, it replaces the one-device allowance above and is subject to the same billing-beyond-the-allowance rule.
6. Payment terms
Payments are processed by our provider, Stripe. RUSHB never sees or stores the Customer's card details. Charging is automatic, on each due date of the subscription. Due dates fall on the anniversary of the day the subscription started: a monthly subscription started on the 15th renews on the 15th of every month, an annual one on the same day each year.
If a payment fails, the Customer is warned by a message in the dashboard and by email from the first failure. Devices already enrolled keep running without interruption and without their access being revoked. If the issue is not resolved within 7 days, only the enrolment of new devices is blocked, until the situation is resolved. The Customer can update their payment method at any time from the dashboard.
7. Term and renewal
The subscription runs for the chosen term (month or year) and renews automatically for the same term, unless either party cancels under the conditions of section 9.
An annual subscription is a one-year commitment, paid upfront in a single payment for the twelve months ahead. It cannot be switched back to monthly billing before the year ends. Cancelling it, as described in section 9, takes effect at the end of the year already paid for, with no refund for the months remaining.
8. Changing the licence quantity
The Customer can increase their licence quantity at any time from the dashboard; the increase is billed immediately, prorated over the period remaining. A decrease in licence quantity is requested from support at support@freekiosk.app. It takes effect at the next renewal of the subscription, with no refund for the current period, and cannot go below the number of devices currently enrolled: the Customer must remove the excess devices first.
9. Withdrawal right and cancellation
Right of withdrawal. Under article L221-18 of the French Consumer Code, a Customer who is a consumer has 14 days from subscription to exercise their right of withdrawal, without having to justify a reason.
However, since FreeKiosk Cloud is digital content supplied on an intangible medium whose performance starts at subscription (immediate access to the dashboard), a Customer who wants that immediate access is asked, at subscription, to expressly agree to the service starting before the withdrawal period ends and to expressly waive their right of withdrawal, under article L221-28 13° of the French Consumer Code. A Customer who does not want to waive that right can ask RUSHB, before the 14-day period ends, not to start the service.
Cancellation by the Customer. Separately from the right of withdrawal, the Customer can cancel their subscription at any time, in one click from the dashboard, with no justification. Cancellation takes effect at the end of the period already paid for (the current month or year): access stays active until that date, with no further renewal, and with no refund for the current period. The Customer can undo a cancellation request at any time before it takes effect, also from the dashboard.
Cancellation by RUSHB. RUSHB may cancel or suspend access to the service in the event of a serious breach by the Customer of these Terms or the Terms of Use, notably unlawful use of the service, after formal notice has gone unanswered for a reasonable period, except in an emergency. An unresolved payment issue can only, under the conditions of section 6, block the enrolment of new devices, never cut off devices already enrolled or revoke their credentials.
10. Warranties and liability
RUSHB undertakes to provide the service diligently, without guaranteeing continuous availability: the service may be interrupted for maintenance or in the event of a malfunction. RUSHB cannot be held liable for indirect damage resulting from an interruption, from data a device reports incorrectly, or from a command that does not reach its destination.
Nothing in these Terms limits a consumer Customer's rights under the legal warranty of conformity and other mandatory statutory warranties.
11. Personal data
Processing of the Customer's and their organisation's personal data is described in the privacy policy, which forms an integral part of these Terms.
12. Intellectual property
The FreeKiosk Cloud service, its interface and its source code remain the exclusive property of RUSHB, as stated in the legal notice. Subscribing transfers no intellectual property rights to the Customer, who is granted a simple right to use the service for the term of their subscription.
13. Complaints and consumer mediation
Any complaint can be sent to support@freekiosk.app.
Under article L616-1 of the French Consumer Code, a Customer who is a consumer has the right to refer a dispute with RUSHB, free of charge, to a consumer mediator, once an unresolved complaint has first been made directly to RUSHB. Contact us for the current mediator's details.
14. Business customers
For any Customer acting as a business, these Terms are provided on simple request under article L441-1 of the French Commercial Code. Consumer-protective provisions (right of withdrawal, consumer mediation) do not apply to a business Customer.
15. Changes to these Terms of Sale
RUSHB may change these Terms at any time. The Terms that apply are those in force at the date of subscription or renewal. Any substantial change affecting an active subscription will be notified to the Customer before it takes effect.
16. Governing law and jurisdiction
These Terms are governed by French law. Absent an amicable resolution or recourse to mediation, any dispute will be brought before the competent French courts, subject to the mandatory protective rules applicable to consumers.
